Terms & Conditions

Welcome to B2B Wholesale. These Terms & Conditions apply to the use of our website, quotations, samples, custom apparel development, private label manufacturing, bulk production, decoration, packaging, and related services.

By placing an order, approving a quotation or sample, making payment, or authorizing production, you agree to the applicable terms below.

1. Custom Apparel Manufacturing

B2B Wholesale provides custom apparel manufacturing and related services for brands, wholesalers, retailers, teams, businesses, and other customers.

Products may be manufactured according to customer-approved designs, tech packs, measurements, size charts, fabrics, colors, artwork, branding, samples, and other specifications.

2. Quotations & Pricing

Quotations are based on the information available at the time they are prepared, including product specifications, quantity, fabric, colors, sizing, decoration, packaging, and shipping requirements.

Pricing may change if the customer changes the specifications, quantity, materials, artwork, branding, packaging, or delivery requirements.

Shipping, duties, taxes, banking fees, and other charges are included only when specifically stated in the quotation or invoice.

3. Samples & Product Development

Sample charges depend on the product, materials, design complexity, customization, and development requirements.

A sample is intended to allow the customer to review the product before bulk production. Customers should carefully review the fit, measurements, fabric, colors, construction, stitching, decoration, logo placement, labels, and overall appearance before giving final approval.

Sample charges, development costs, custom materials, patterns, molds, printing screens, or other development expenses may be non-refundable once the applicable work has begun.

4. Customer Approval

The customer is responsible for reviewing and approving all applicable specifications before bulk production.

Approval may include:

  • Tech packs and designs
  • Measurements and size charts
  • Fabrics and colors
  • Samples
  • Logos and artwork
  • Printing and embroidery
  • Labels and hangtags
  • Packaging
  • Quantities and size breakdowns

Once final approval has been provided and production has started, changes may not be possible. Any approved changes may result in additional costs and production time.

5. Bulk Production

Bulk production begins after the required specifications, approvals, payment terms, and production details have been confirmed.

Production will be based on the approved specifications and, where applicable, the approved sample.

Customers should understand that custom apparel manufacturing involves production processes that may result in reasonable manufacturing variations.

6. Manufacturing Tolerances

We aim to manufacture products according to the approved specifications. However, minor variations may occur between samples and bulk production or between individual garments.

These may include reasonable variations in:

  • Garment measurements
  • Fabric shade or texture
  • Dye lots
  • Stitching
  • Print or embroidery placement
  • Logo positioning
  • Fabric behavior
  • Washing or finishing
  • Color appearance between physical products and digital screens

Reasonable variations inherent to textile and garment manufacturing are not automatically considered defects.

Any specific tolerance requirements must be agreed upon before production.

7. Customer-Supplied Designs & Intellectual Property

Customers are responsible for ensuring that they have the legal right to use all logos, trademarks, artwork, designs, graphics, brand names, and other intellectual property supplied to B2B Wholesale.

By submitting such materials, the customer authorizes us to use them as necessary to develop and manufacture the requested products.

B2B Wholesale reserves the right to refuse designs or orders that we reasonably believe may infringe third-party intellectual property rights or violate applicable law.

8. Private Label & Decoration

Available branding and decoration may include embroidery, screen printing, DTF, sublimation, heat transfer, patches, silicone or rubber logos, woven labels, printed labels, hangtags, and custom packaging.

The suitability of a decoration method depends on the garment, fabric, artwork, quantity, and required finish.

Colors and decoration results may vary slightly depending on materials and production processes.

9. Minimum Order Quantities

Minimum order quantities may vary according to the product, fabric, color, design, decoration method, customization, and production requirements.

A sample order does not automatically establish or waive the MOQ for subsequent bulk production.

10. Payment Terms

Payment requirements will be stated in the applicable quotation, proforma invoice, or order confirmation.

Production, material purchasing, or sampling may not begin until the required payment has been received.

Any remaining balance must be paid according to the agreed payment terms.

Delays in payment may result in corresponding delays to development, production, packing, or shipment.

Customers are responsible for applicable bank charges, payment processing fees, currency conversion charges, or transfer fees unless otherwise agreed.

11. Changes & Cancellations

Because custom products are manufactured specifically for each customer, orders cannot necessarily be cancelled once materials have been purchased, product development has begun, branding has been produced, or bulk production has started.

If cancellation is requested, we will review the status of the order and any costs already incurred.

Payments relating to completed work, purchased materials, custom development, samples, branding, packaging, or other non-recoverable production costs may not be refundable.

12. Production & Lead Times

Production and sample lead times are estimates unless a specific commitment is confirmed in writing.

Timelines may be affected by factors including customer approvals, revisions, material availability, order quantity, customization, payment delays, holidays, production conditions, shipping carriers, customs, and circumstances outside our reasonable control.

Any required delivery deadline should be communicated before the order is confirmed.

13. Shipping & Delivery

We can arrange international shipping for samples and bulk apparel orders.

Shipping methods may include express courier, air freight, sea freight, or other available services, depending on the destination and shipment requirements.

Shipping costs and estimated transit times depend on shipment weight, dimensions, destination, service selected, and other logistics factors.

Once goods have been transferred to a third-party carrier, delays caused by carriers, customs authorities, weather, transportation disruptions, or other events outside our reasonable control may affect delivery.

14. Customs, Duties & Taxes

International shipments may be subject to customs clearance, import duties, taxes, fees, permits, and other destination-country requirements.

Unless otherwise expressly agreed in writing under the applicable shipping terms, customers are responsible for understanding and paying charges imposed by their destination country.

15. Inspection & Claims

Customers should inspect their order promptly after delivery.

If you believe there is a manufacturing error or material discrepancy from the approved specifications, contact us promptly and provide the relevant order information, photographs, videos, measurements, and details of the issue.

We will review legitimate manufacturing concerns based on the approved specifications, sample, and order requirements.

Products should not be altered, printed, washed, resold, or otherwise processed before reporting a suspected manufacturing issue where doing so would prevent reasonable inspection of the claim.

16. Returns & Refunds

Custom-manufactured and private label products are produced specifically for each customer’s requirements and generally cannot be returned simply because of a change of mind.

If a verified manufacturing issue attributable to B2B Wholesale is identified, we will review the circumstances and determine an appropriate resolution based on the nature and extent of the issue and the applicable order agreement.

Separate terms stated in an approved quotation, invoice, or written production agreement may apply to a particular order.

17. Confidentiality

We respect the confidential nature of customer designs, product specifications, tech packs, and business information.

Where required, separate confidentiality or non-disclosure agreements may be discussed for specific projects.

18. Website Information

We aim to keep the information on B2BWholesale.com accurate and current. However, fabrics, materials, colors, product specifications, MOQs, production capabilities, pricing, lead times, and services may change.

Website content is provided for general information and does not replace the specific quotation, invoice, approved specifications, or written agreement for an individual order.

19. Limitation of Liability

To the extent permitted by applicable law, B2B Wholesale will not be responsible for indirect or consequential business losses resulting from circumstances outside the scope of the applicable manufacturing agreement.

Nothing in these Terms is intended to exclude or limit any liability or customer right that cannot legally be excluded under applicable law.

20. Governing Law

These Terms & Conditions and applicable transactions will be governed by the law specified in the relevant order agreement or, where no separate governing-law provision has been agreed, by applicable law.

21. Changes to These Terms

We may update these Terms & Conditions when necessary to reflect changes in our services, manufacturing practices, policies, or legal requirements.

The version published on this page will display the latest revision date.
